1. Acceptance of Terms & Scope

  • Welcome to Dashride, a multi-service technology platform operated and powered by Dashrite, LLC. (“Dashrite,” “we,” “us,” or “our”).
      
  • By accessing or using our mobile applications, websites, software suites, or call-in dispatch integration tools (collectively, the “Dashrite Platform”), you agree to be bound by these Terms of Service ("Terms").
      
  • These Terms apply globally to users, riders, delivery participants, home service clients, independent fleet operators, and service partners accessing the Dashrite Platform within the United States of America, the Republic of Ghana, and any other permitted international jurisdictions. If you do not agree to all of these Terms, you must immediately cease all use of the Dashrite Platform.
     

2. Nature of the Platform: Software-as-a-Service (SaaS) Disclosure

  • Independent Technology Provider: Dashrite LLC is an independent software licensing and technology provider.
     
  • No Transportation or Service Provision: Dashrite does not offer passenger transportation, delivery logistics, or home services; does not directly employ drivers, couriers, or service technicians; does not set consumer fares; and does not operate as a Transportation Network Company (TNC), common carrier, or direct service provider.
      
  • Third-Party Fulfillment: All transportation, delivery, and local home services facilitated through the platform (including but not limited to Private Transport, Deliveries, FlushFix, Roadside Services, Home Cleaning, Drive Coach, and Fridge Detailing) are provided independently by third-party licensed fleet operators and independent service contractors utilizing the Dashrite software platform.

3. International Use & Local Compliance (US & Ghana)

  • Cross-Border Availability: The Dashrite Platform provides software infrastructure accessible in multiple regions, including the United States and Ghana.
      
  • Enterprise Cloud Reliability & Uptime: Tier 3 Enterprise Network deployments run on dedicated, enterprise-grade cloud infrastructure engineered to support high-volume API dispatch routing, multi-city geofencing, and call center synchronization, with a targeted 99.9% system availability.
     
  • Local Regulatory Responsibility: Because Dashrite acts solely as a software licensor, you (whether an end-user, fleet owner, or service partner) are solely responsible for ensuring that your use of the platform and any services rendered comply fully with all applicable local, regional, national, and international laws.
     
    • For Users/Partners in the United States: Compliance includes adherence to federal, state, and municipal regulations (such as FCRA, ADA, and state-specific transportation or trade rules).
        
    • For Users/Partners in the Republic of Ghana: Compliance includes adherence to Ghanaian law, including data protection standards under the Data Protection Act, 2012 (Act 843), consumer protection laws, and local municipal or transport authority requirements.

4. Eligibility and Account Registration

  • First-Login Digital Acknowledgment: Upon initial login to the Dashrite Partner Console or Client Application, users must review and actively select 'I Agree' to our current Terms of Service and Privacy Policy before accessing platform dispatch features, management dashboards, or booking tools.
      
  • Age Requirement: You must be at least 16 years of age to use the Dashrite Platform as an end-user/client, and at least 18 years of age (or the legal age of majority in your jurisdiction) to register as an independent driver, fleet partner, or service contractor.
     
  • Account Security: You are responsible for keeping your account credentials confidential and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breaches.
      
  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

5. Independent Third-Party Services

 

  • Contractor Independence: All service providers, couriers, and fleet operators are independent contractors or separate business entities operating under their own local licenses, permits, and insurance coverages. Dashrite exercises no operational control, direction, or supervision over how independent providers perform their services.
     
  • No Liability for Third-Party Conduct: Dashrite assumes no liability, legal responsibility, or obligation for the acts, omissions, negligence, professional errors, or conduct of any driver, courier, fleet operator, or service contractor using the platform.
      
  • No Agency or Partnership: Nothing in these Terms or the use of the term 'Partner' shall be construed to create a legal partnership, joint venture, employment, or agency relationship between Dashrite, LLC and any software licensee. Independent partners operate entirely as separate commercial entities.

6. Payments, Fares, and Fees

  • Pricing Control: Third-party fleet operators and service partners establish fares, service minimums, hourly rates, and pricing matrices independently using the software infrastructure based on jurisdiction or zones.
      
  • Payment Processing: The platform processes payment transactions through secure third-party payment gateways. Dashrite acts solely as a technology intermediary and does not directly act as a merchant of record for physical transportation or local services. Local currency rules (such as USD in the United States and GHS in Ghana) apply based on the operational territory.
      
  • Metered Cloud Infrastructure & API Processing Fees: The Dashride Platform operates on a metered cloud infrastructure and API processing fee model. Independent partners maintain 100% ownership of all service revenues and earnings. Software utilization and API fees are automatically debited from the partner's active prepaid cloud credit balance after each successful dispatch. 
  • Cloud Credit Balance & Dispatch Requirement: Independent partners and operators must maintain an active, positive cloud credit balance. If account funds are low or exhausted, the system will automatically restrict the ability to accept new requests or initialize routing until the cloud credit balance is topped up.
      
  • Credit Top-Ups & Discontinuation: Prepaid cloud credit top-ups are non-refundable once applied to the infrastructure ledger; however, independent partners retain full control over their account activity and may discontinue platform operations and cease credit top-ups at any time.

7. User Conduct and Prohibited Activities

You agree not to use the Dashrite Platform to:

  • Violate any applicable local, national, or international laws, including transit, trade, consumer protection, and privacy laws in the United States, Ghana, or other operating regions.
     
  • Infringe upon the intellectual property, privacy, or legal rights of Dashrite or any third party.

  • Transmit harmful code, malware, viruses, or automated scripts designed to disrupt, damage, or limit the platform's functionality.
     
  • Harass, threaten, or abuse drivers, service providers, support staff, or other users.
      
  • Attempt to reverse engineer, decompile, or extract the source code of the Dashrite software platform. 

8. Intellectual Property Rights

 

  • Ownership: All software, code, UI/UX designs, trademarks, logos, graphics, and documentation associated with the Dashrite Platform are the exclusive property of Dashrite, LLC, and are protected under United States, Ghanaian, and international intellectual property laws.
      
  • Limited License: Dashrite grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Dashrite mobile applications and website solely for personal, non-commercial use or authorized business management in accordance with these Terms. 

9. Disclaimer of Warranties

 

  • "As Is" Basis: The Dashrite Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
     
  • No Guarantee of Availability: Dashrite does not warrant that the platform will be uninterrupted, secure, or free of errors, bugs, or server downtime across international networks.
      

10. Limitation of Liability

  • Exclusion of Damages: To the maximum extent permitted by applicable law, Dashrite, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or in connection with your use of the platform or any third-party services.
      
  • Liability Cap: In no event shall Dashrite’s total aggregate liability to you for all claims exceed the total amount of software licensing fees paid by you to Dashrite in the twelve (12) months preceding the event giving rise to liability.
      

11. Indemnification

  • You agree to defend, indemnify, and hold harmless Dashrite, LLC, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the platform, or your interaction with any third-party driver, courier, or service partner.

12. Governing Law, Jurisdiction, and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles, while respecting mandatory consumer protection laws applicable in the user's local jurisdiction (including Ghana).
      
  • Jurisdiction for US Users: For users located in the United States, any legal dispute or claim arising out of these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in Rochester, New York, on an individual (non-class) basis.
      
  • Jurisdiction for International / Ghanaian Users: 

 

  • For users located in Ghana or outside the United States, disputes shall be resolved under applicable local legal frameworks or through mutually agreed international arbitration, ensuring compliance with local mandatory dispute resolution rights.
      

13. Modifications to Terms

 

  • We reserve the right to modify, amend, or update these Terms at any time. When we make material changes, we will provide advance notice through the Dashride app or via email. Continued use of the platform following any modifications constitutes your formal acceptance of the revised Terms.
